1. ACCEPTANCE OF TERMS

• Mentoring & Coaching: One-on-one sessions for personal development, creative work, and mental wellness support
• Content & Publications: Poetry, art, writing, and psychopoetics research
• Digital Products: Books, artwork, and other creative materials available for purchase

3. MENTORING SERVICES TERMS

Booking & Payment

• All mentoring packages must be paid in full or according to the agreed payment plan before sessions begin
• Payment plans are binding agreements and cannot be canceled once initiated
• Prices are subject to change, but any booked services will honor the price at time of booking

Session Policies

• Scheduling: Sessions are scheduled by mutual agreement via email or booking platform
• Rescheduling: Must provide 24-hour notice to reschedule. Sessions canceled with less than 24 hours notice are forfeited
• No-Shows: Missed sessions without notice are forfeited with no refund
• Late Attendance: Sessions begin at scheduled time. Late arrival shortens session duration
• Technical Issues: If Zoom or technical problems occur, we'll reschedule at no penalty

Recordings & Confidentiality

• Sessions are recorded for your personal use and learning
• Recordings are stored securely and shared only with you
• You may not share, distribute, or publish session recordings without written consent
• All session content and communications are confidential

Client Responsibilities

• Arrive prepared and ready to engage
• Complete any assigned work between sessions
• Communicate openly and honestly
• Maintain your own mental and physical wellbeing (seek clinical help if needed)
• Treat the coach/mentor with respect

4. REFUND & CANCELLATION POLICY

Mentoring Services

• No refunds after the first session has been completed
• 14-day cooling-off period: If you cancel before your first session, you'll receive a full refund minus payment processing fees (typically 3-5%)
• Payment plans: Once a payment plan is initiated, remaining payments are due regardless of session completion
• Paused programs: Programs may be paused for up to 30 days in cases of emergency (medical, family crisis). Contact us immediately to arrange

Digital Products

• Digital products (books, PDFs, artwork) are non-refundable once downloaded
• Physical products may be returned within 14 days if unopened and in original condition

5. INTELLECTUAL PROPERTY

All content on this Site, including but not limited to text, graphics, logos, images, audio clips, video, and software, is the property of Eeta Noire or its content suppliers and is protected by international copyright laws.

You may not:

• Reproduce, duplicate, copy, sell, or exploit any portion of the Site without express written permission
• Use any content for commercial purposes without authorization
• Modify, adapt, or create derivative works based on Site content
• Share or redistribute session recordings, course materials, or proprietary frameworks

6. USER CONDUCT

You agree not to:

• Harass, abuse, threaten, or intimidate Eeta Noire or other users
• Use the Site for any illegal or unauthorized purpose
• Transmit any malicious code, viruses, or harmful materials
• Impersonate any person or entity
• Interfere with or disrupt the Site or servers

Violation of these conduct rules may result in immediate termination of services without refund.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Eeta Noire shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Site or services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Site
• Any bugs, viruses, or similar issues transmitted through the Site by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content

Mental Health Disclaimer: Mentoring and coaching services are not a substitute for professional medical or psychiatric care. We are not liable for any outcomes related to your mental or physical health. You assume full responsibility for your wellbeing and agree to seek appropriate clinical care when needed.

8. TERMINATION

We reserve the right to terminate or suspend your access to the Site and services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Abusive, threatening, or inappropriate behavior
• Non-payment of fees
• At our sole discretion for any or no reason

Upon termination, your right to use the Site and services will cease immediately. No refunds will be provided for terminations due to Terms violations.

9. DISPUTE RESOLUTION

Any disputes arising out of or relating to these Terms or the use of our Site/services shall be resolved through:

• Good Faith Negotiation: First, we'll attempt to resolve the issue directly via email
• Mediation: If negotiation fails, both parties agree to mediation before pursuing legal action
